Shoopa is a product of FTRX Group.
General Terms of Use
These Terms of Use govern your access to and use of the Shoopa website, mobile applications, and related services. By using our platform, you agree to these terms.
1. About Shoopa
Shoopa provides an AI-powered commerce platform that enables merchants to create online storefronts, manage products and inventory, process payments through Paystack, Flutterwave, and Monnify, engage customers via an AI sales assistant, generate multi-channel product feeds, and access analytics — all from a single dashboard.
2. Relationship
Shoopa is an independent service provider. We provide the technology platform; merchants are the sellers of record for all transactions. We do not control the products or services sold by merchants, and we do not guarantee any user's identity or the completion of any transaction.
3. Privacy
Our Privacy Policy explains how we collect, use, and protect your personal information. By using Shoopa, you agree to the practices described in our Privacy Policy, including the processing of data through our AI systems and third-party payment processors.
4. Copyright
All content published on our website and platform — including text, graphics, logos, images, software, and the Shoopa brand — is the property of FTRX Group unless otherwise indicated. You may not reproduce, distribute, or create derivative works without our express written permission.
5. Your Content
You retain ownership of content you upload — product listings, images, store descriptions, and customer data. By uploading content, you grant Shoopa a non-exclusive, worldwide license to use, store, and display that content solely to provide our Services. You represent that your content does not infringe any third-party rights.
6. Restrictions
You agree not to:
- use the platform for any illegal or fraudulent purpose
- circumvent our payment checkout or fee structure
- scrape, data-mine, or crawl our platform without permission
- interfere with the security or performance of our services
- use our AI systems for purposes other than their intended commerce functions
7. Age Restriction
You must be at least 18 years old to use our Services. If you are under 18, you may not create an account or use the platform.
8. Acceptable Use
You agree to comply with our Acceptable Use Policy, which prohibits the sale of illegal goods, hateful content, child exploitation, malware, spam, and other harmful activities. We reserve the right to suspend or terminate accounts that violate these standards.
9. Disclaimers
Our platform is provided “as is” and “as available.” We do not warrant that the platform will be uninterrupted, error-free, or secure. AI-generated responses may not always be accurate — merchants should review AI-generated content before publishing. We disclaim all warranties, express or implied, to the maximum extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by law, Shoopa (FTRX Group) shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the fees you paid in the 12 months preceding the claim, or ₦10,000 if no fees were paid.
11. Indemnification
You agree to indemnify and hold Shoopa and FTRX Group harmless from any claims arising from your use of the platform, your breach of these terms, or your violation of any law or third-party rights.
12. Termination
We may suspend or terminate your access to the platform at any time, with or without cause. Upon termination, your right to use the Services ceases immediately. Outstanding fees remain payable.
13. Third-Party Links
Our platform integrates with third-party services including Paystack, Flutterwave, Monnify, Google Analytics, Facebook Pixel, Gokada, Shipbubble, Mailchimp, and WhatsApp. We are not responsible for the practices of these third parties. Your use of their services is governed by their respective terms.
14. Governing Law
These terms are governed by the laws of Lagos State, Nigeria. Any disputes shall be resolved in the courts of Lagos State.
Merchant Terms of Service
By signing up for a Shoopa account and using our merchant services, you agree to these Merchant Terms. These terms are in addition to the General Terms of Use above.
1. Account Terms
1.1 To use Shoopa as a merchant, you must register for an account with your full legal name or business name, valid email address, phone number, and business address. You represent that all information is accurate and complete.
1.2 You authorize Shoopa to verify your identity through third-party KYC services (Smile Identity) by collecting your BVN and identification documents. This information is used solely for regulatory compliance and fraud prevention.
1.3 You are responsible for maintaining the confidentiality of your account credentials. Any activity under your account is your responsibility.
1.4 You confirm that you are using Shoopa for business purposes, not personal, household, or family purposes.
2. Account Activation
2.1 The person signing up is the Store Owner. If signing up on behalf of a company, you represent that you have authority to bind that company.
2.2 Based on your pricing plan, you may create Staff Accounts for team members with configurable permissions. The Store Owner is responsible for all actions taken by staff.
2.3 You agree to use Shoopa Checkout for all online sales associated with your store. Shoopa Checkout is our AI-powered checkout that handles payment processing, customer data collection, and order confirmation.
3. Shoopa Rights
3.1 We reserve the right to modify, suspend, or discontinue any feature of our platform at any time, with or without notice.
3.2 We may remove materials that violate our Acceptable Use Policy or applicable law.
3.3 We may determine rightful account ownership in the event of a dispute and transfer or suspend the account accordingly.
4. Your Responsibilities
4.1 You are the seller of record for all items sold through your Shoopa store. You are solely responsible for product descriptions, pricing, compliance with consumer protection laws, refunds, and customer service.
4.2 You must provide accurate product information, a clear refund policy, and order fulfilment timelines on your store.
4.3 You are responsible for determining, collecting, and remitting all applicable taxes on sales made through your store.
4.4 You agree to maintain appropriate customer records and proof of delivery for all transactions, which may be requested for dispute resolution.
5. Payment of Fees and Taxes
5.1 Shoopa charges subscription fees based on your chosen plan (Free, Starter at ₦3,500/month, Pro at ₦5,000/month, or Enterprise). Fees are billed monthly or according to your selected billing cycle (quarterly, biannual, or yearly with applicable discounts).
5.2 Transaction fees: A 2% total checkout fee applies to each paid transaction processed through Shoopa Checkout. This covers payment processing gateway fees and platform costs. The fee bearer (merchant or customer) is configurable in your settings.
5.3 Subscription fees are paid in advance and are non-refundable except as expressly provided. If payment fails, we may suspend your account after 7 days and terminate it after 20 days.
5.4 All fees are exclusive of applicable taxes. You are responsible for any taxes arising from your use of Shoopa.
5.5 Settlement: Payments received from customers are settled to your Shoopa Wallet on a T+1 basis (next business day) after KYC verification is complete. Withdrawals from your Wallet to your bank account are subject to your KYC tier limits.
6. Chargebacks and Disputes
6.1 You are solely responsible for all chargebacks, reversals, and refunds related to transactions processed through your store. When a chargeback occurs, the disputed amount will be debited from your settlements.
6.2 A non-refundable dispute fee may be applied for each chargeback, as imposed by our payment processors. You agree to indemnify Shoopa for any chargeback-related losses, fees, or penalties.
6.3 Shoopa reserves the right to initiate refunds to customers in cases of suspected fraud, KYC non-compliance, or as required by applicable law.
7. Refunds
Subscription fees are non-refundable except in cases of service failure solely attributable to Shoopa. Any refunds issued are at our sole discretion and may be processed as wallet credits or bank transfers. Bank charges may be deducted from refunds.
8. Intellectual Property
The Shoopa name, logo, and brand are trademarks of FTRX Group. You may not use our trademarks without written permission. You retain all intellectual property rights to your store content, product listings, and customer data.
9. Third-Party Services
Shoopa integrates with third-party services including payment processors (Paystack, Flutterwave, Monnify), identity verification (Smile Identity), logistics (Gokada, Shipbubble), notifications (Termii SMS, WhatsApp), and analytics (Google Analytics, Facebook Pixel). Your use of these services is subject to their respective terms. Shoopa is not responsible for the acts or omissions of these third parties.
10. Disclaimers and Limitation of Liability
The platform is provided “as is.” We do not guarantee that our AI sales assistant will be accurate or that the platform will be uninterrupted. Our AI generates responses based on your product catalog and may make errors. You should review AI-generated content before making it available to customers.
To the maximum extent permitted by law, Shoopa's liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for lost profits, data loss, or indirect damages.
Customer Terms
These terms apply to you if you are a customer purchasing from a Shoopa-powered store.
1. When you make a purchase from a Shoopa-powered store, your contract of sale is with the merchant, not with Shoopa. Shoopa provides the technology platform; the merchant is responsible for fulfilling your order, handling returns, and customer service.
2. Your payment information is processed securely by our PCI-compliant payment partners (Paystack, Flutterwave, or Monnify). Shoopa does not store your full card details.
3. When you interact with a merchant's AI sales assistant on their storefront, your conversation is processed by Google's Gemini AI. The merchant may have access to your conversation history for customer service purposes.
4. If you request a transfer to speak with a human (via the AI handoff feature), your chat history will be shared with the merchant to ensure continuity.
5. For any issues with your order (delivery, refunds, product quality), please contact the merchant directly. If you are unable to resolve the issue, you may contact Shoopa support for assistance.
Visitor Terms
These terms apply to you if you are browsing the Shoopa website, reading our blog, using our support chat, or interacting with our marketing content.
1. You may browse our website without providing personal information. When you interact with our AI support chat, your conversation data is processed to answer your questions and improve our service.
2. Content on our website (blog posts, documentation, marketing materials) is for informational purposes only and does not constitute professional or legal advice.
3. If you sign up for our newsletter or marketing communications, you may opt out at any time.
4. Your use of our website is subject to the General Terms of Use and Privacy Policy set out above.
